Terms of Service

By creating an account or using the Niak AI platform (“Service”), you agree to these Terms of Service (“Terms”). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, do not use the Service.

Niak AI provides an AI-powered customer support widget that merchants embed on their websites. The widget answers visitor questions using only the merchant’s own knowledge base, powered by third-party AI models (Anthropic Claude). Niak AI does not guarantee specific response accuracy — merchants are responsible for keeping their knowledge base current.

• You must provide accurate registration information and keep it up to date.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at iniyanvanand@gmail.com if you suspect unauthorised access.
• Accounts may not be shared or transferred without our written consent.

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law
• Attempt to reverse-engineer, decompile, or extract the underlying AI models
• Use the Service to generate spam, misinformation, or harmful content
• Resell or sublicense access to the Service without our written permission
• Attempt to circumvent rate limits, security controls, or authentication
• Upload knowledge content that infringes third-party intellectual property rights

• Subscription fees are charged monthly in advance via Stripe.
• Top-up packs and Enterprise metered usage are billed as consumed.
• All prices are exclusive of VAT or applicable taxes, which may be added at checkout.
• Payments are non-refundable except where required by law or at our sole discretion.
• We reserve the right to suspend access for overdue payments after 7 days’ notice.
• Prices may change with 30 days’ notice. Continued use constitutes acceptance.
• We may introduce usage-based (metered) billing for any tier in the future. Existing subscribers will be notified at least 30 days before any such change affects them.

You may cancel your subscription at any time from the dashboard or by emailing us. Access continues until the end of the current billing period. We do not prorate partial months. Cancellation does not delete your data immediately — see our Privacy Policy for retention details.

Niak AI retains ownership of the platform, codebase, and all related IP. You retain ownership of your knowledge base content and conversation data. By uploading content, you grant Niak AI a limited licence to process it solely to provide the Service.

We do not use your content or your visitors’ conversations to train AI models.

You are responsible for informing your website visitors that an AI chat widget is in use and that conversations are stored. You must have a lawful basis for processing visitor data under applicable data protection law. Niak AI processes visitor data on your behalf as a data processor — you are the data controller.

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance where possible. Enterprise customers receive contractual SLA terms negotiated separately.

The Service depends on third-party AI providers (Anthropic, OpenAI). Outages or changes by those providers may affect the Service without notice.

To the maximum extent permitted by law, Niak AI’s total liability to you for any claim arising from your use of the Service is limited to the amount you paid us in the 3 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost customers, or reputational harm — even if we were advised of the possibility.

AI-generated responses may be inaccurate. You are responsible for reviewing your knowledge base and ensuring the widget does not provide misleading information to your customers.

You agree to indemnify and hold harmless Niak AI and its team from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your knowledge base content, or your violation of these Terms.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk to the platform. We will attempt to provide notice except where doing so would compromise security or is prohibited by law.

Upon termination, your access ends. You may request an export of your data within 30 days of termination before it is deleted.

These Terms are governed by the laws of Ireland. Any disputes will be subject to the exclusive jurisdiction of the courts of Ireland. If you are a consumer in the EU, you retain any rights granted by mandatory local consumer protection law.

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before they take effect. Continued use after that date constitutes acceptance. The effective date above always reflects the current version.
